CDex
Convert, selecting correct format for what your files are
Browse to where they are
Select files
Push the "Convert" button

There, that wasn't hard, was it? :) For more info, see CDex's
"Help".

BTW, you will want to set up the MP3 encoding parameters in CDex
Options|Settings before encoding.
