File size depends on several factors but the most important are the
length of the video in minutes, the codec being used to make the
conversion, and the resolution parameters such as frame size and bit
rate.

MPEG-4 is the latest standard for compression. Going backwards to
MPEG-2 is not going to give you a smaller file size if you maintain
the content and resolution. Obviously if you strip out unwanted
content the resulting file size will be smaller. That leaves
resolution.

You need to give us more details. What is this MPEG4 file? What is its
intended use? Is it one of those Apple iPod files?

You can try ConvertXtoDVD and see what happens. Also try
TotalVideoConverter. Use GSpot to look inside the file to see what is
going on.
