There are plenty of ways to convert between different
codecs. You can go here and select the one you want..

Note that "AVI" is merely a wrapper and does not specify
how the content is encoded. We sometimes use terms like
"DV-AVI" to specify (for example) a DV-encoded video in
an AVI wrapper.

By "no re-encoding" do you mean that you want to find
an AVI codec that will allow you to just dump the
MPEG/AAC data into an AVI wrapper? Else, the conversion
will almost certainly require re-encoding.
