That's a very complicated question. You should read the tutorials on
videohelp.com.

Generally, re-encoding to that small a size will result in terrible
quality. You'll probably be better off using a free file hosting
service, and just point the person you want to see the movie to your
rapidshare link.

A couple of popular free file hosting services are:
rapidshare.de - 100MB per file limit
sharebigfile.com - 500MB per file limit
